Welcome to Utsaa Template Shop (the “Platform”). These Terms & Conditions (“Terms”) govern your access to and use of the Platform, including any purchases of digital files. By accessing or using the Platform, you agree to be bound by these Terms.
Quick highlights (plain‑English):
Downloads for purchased files remain available in your account for 7 days from the time of purchase; after expiry you’ll need to re‑purchase to download again.
All sales are final for digital goods: no cancellation, no refund once an order is completed (except where required by law).
Licenses are non‑transferable and for a single account holder. Don’t share download links or files publicly.
Free files may have limited licenses; always check the file page for permitted use.
We may suspend accounts for abuse, fraud, or policy violations.

2) Definitions
Account: Your registered user account on the Platform.
Files: Digital products provided via the Platform (e.g., templates, themes, graphics, documents, software, etc.).
Free Files: Files marked as free to download, subject to specific license terms noted on the file page.
Paid Files: Files available for purchase.
Order: A completed purchase transaction for Paid Files.
Download Window: The period of 7 calendar days from purchase time during which downloads are available from your Account’s Orders section.
License: The usage rights granted to you for a File, as defined in these Terms and/or the File page.
3) Eligibility & Accounts
3.1 You must be at least 18 years old or have legal guardian consent to use the Platform.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your Account. One Account = one user; sharing credentials is prohibited.
3.3 We may suspend or terminate Accounts for suspected fraud, abuse, or breach of these Terms.
4) Pricing, Payments & Taxes
4.1 Prices are listed in INR unless stated otherwise and may change at any time.
4.2 Payments are processed by third‑party payment processors (e.g., Razorpay or similar). By purchasing, you agree to their terms and privacy policies.
4.3 Applicable taxes (e.g., GST) may be added as required by law. You are responsible for any bank or currency conversion fees.
4.4 We reserve the right to cancel or refuse any Order due to pricing errors, suspected fraud, or regulatory restrictions. If an Order is cancelled before fulfillment due to our error, we will issue a refund.
5) Delivery of Digital Goods
5.1 After successful payment confirmation, your purchased Files will be available in your Account’s Orders section for download within the Download Window.
5.2 No physical shipment occurs. You are responsible for ensuring compatible software/hardware to use the Files.
6) Download Access & Expiry (7 Days)
6.1 The Download Window is 7 calendar days from the purchase timestamp. After this period, the download link will expire automatically.
6.2 To download a File after expiry, you must re‑purchase the File.
6.3 To prevent abuse, we may limit the number of download attempts, the number of concurrent device accesses, or require re‑authentication.
6.4 Download links are account‑bound and must not be shared publicly or with third parties.
7) Cancellations, Refunds & Chargebacks
7.1 All sales are final for digital goods. No cancellation and no refund once the Order is completed and the download becomes available, except where required by applicable consumer law.
7.2 If you are charged twice for the same Order by mistake, or if a File is defective/corrupted and cannot be downloaded/used despite reasonable assistance from support within 48 hours, we may provide a replacement download or re‑enable access at our discretion.
7.3 Unauthorized chargebacks may result in license revocation, Account suspension, and collection of owed amounts.
8) License & Permitted Use
8.1 When you download a File (free or paid), you are not buying the intellectual property itself. You are receiving a limited, non‑exclusive, non‑transferable, non‑sublicensable License to use the File per these Terms and any specific license on the File page.
8.2 Standard License (default for Paid Files)
You (one Account holder or one legal entity) may use the File to create one end product for yourself or for one client.
You may modify the File for the permitted end product.
You may not resell, redistribute, share, give away, or make the File (or modified versions) publicly available as a standalone item.
You may not claim trademark rights in the File or use it as a logo/brand mark unless the File page explicitly grants such rights.
8.3 Free Files
Unless explicitly stated on the File page, Free Files are licensed for personal use only (non‑commercial). Commercial use requires purchasing the Paid File or obtaining express permission.
8.4 Prohibited Uses (apply to all Files)
Resale, redistribution, re‑licensing, or sub‑licensing of the File or derivatives.
Uploading Files to public repositories, torrents, or file‑sharing sites.
Embedding Files inside other products or templates for resale, except as permitted by the License.
Using Files for unlawful, defamatory, or infringing purposes.
Training AI models on the Files without our prior written consent.
8.5 Attribution may be required where specified on the File page.
9) Support & Updates
9.1 We provide basic support for purchase and download issues (e.g., access problems) via the contact methods listed in Section 1. Support does not include custom work or tailoring Files to your specific needs.
9.2 We may update Files from time to time. Access to updates is not guaranteed. If updates are provided, access may require an active download window or a new purchase.
10) Intellectual Property
10.1 All Files and content on the Platform are protected by copyright and other intellectual property laws. All rights not expressly granted are reserved by us and/or our licensors.
10.2 If you believe your work has been used in a way that constitutes infringement, contact us with details so we can review and, if appropriate, remove the content.
11) User Content (Reviews, Comments)
11.1 If you submit reviews, comments, or other content, you grant us a non‑exclusive, worldwide, royalty‑free license to use, display, and reproduce that content for Platform operations and promotion.
11.2 You must not submit unlawful, defamatory, or infringing content.
12) Acceptable Use & Security
12.1 You agree not to:
Bypass or attempt to bypass download/security controls.
Use bots or scripts for automated downloads.
Interfere with Platform operation or attempt unauthorized access.
12.2 We may monitor for abuse and take action including throttling, suspending, or terminating Accounts.
13) Third‑Party Services & Links
The Platform may include third‑party links or dependencies. We are not responsible for third‑party content or services. Your use of third‑party services is governed by their terms.
14) Disclaimers
Files and the Platform are provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose or non‑infringement. Some jurisdictions do not allow disclaimers of implied warranties, so parts of this section may not apply to you.
15) Limitation of Liability
To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform or Files. Our total liability for any claim shall not exceed the amount you paid for the specific File giving rise to the claim.
16) Indemnification
You agree to indemnify and hold us harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, misuse of the Files, or violation of law.
17) Governing Law & Jurisdiction
These Terms are governed by the laws of India. Courts in Rajasthan, India shall have exclusive jurisdiction, subject to applicable consumer protection laws.
18) Changes to the Terms
We may update these Terms at any time. Changes will be effective upon posting on this page with an updated effective date. Your continued use of the Platform following changes constitutes acceptance of the revised Terms.
